Important Documents:
- Articles of Incorporation
-
Read the Articles of Incorporation. The IJLB was incorporated in June 2024, under the Iowa Revised Nonprofit Corporation Act of 2024. The articles lay out a few simple obligations for the initial directors, who should be comprised of duly elected members of the Provisional Steering Committee, namely to hold a General Meeting by the end of the calendar year, where bylaws they propose must be approved by majority vote by the membership.
- These Articles were reviewed and approved by a Jewish, socialist, anti-Zionist member of the National Lawyers' Guild before filing.
- The corporation may be amended or dissolved by a three-fourths majority of the initial Board of Directors, i.e., the Provisional Steering Committee.
- Note that we have not chosen a nonprofit filing status yet; there are several options available, such as 501(c)5 (labor organization) or a workers' cooperative. There are many considerations here, including what limits such choices have on our ability to engage in political activity.
- Iowa Revised Nonprofit Corporation Act of 2024
-
Read the Iowa regulations on nonprofits. The Act specifies democratic standards for governance of any non-profit organization with members.
- Federal Volunteer Protection Act of 1997
-
Read the Volunteer Protection Act here. The FVPA shields volunteers of non-profit organizations from civil suits relating to any activities directed by the organization.
